Item 5.02    Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Effective February 16, 2005, Doyle L. Arnold was appointed as Vice Chairman of Zions Bancorporation. A copy of the press release issued February 16, 2005 by the Registrant announcing the appointment of Mr. Arnold is attached hereto as Exhibit 99.1, the contents of which are incorporated herein by reference. Mr. Arnold will continue as Chief Financial Officer of the Registrant.

Mr. Arnold participates in Zions Bancorporation's Senior Management Value Sharing Plan, Deferred Compensation Plan, Supplemental Executive Retirement Plan, and Key Employee Incentive Stock Option Plan. Mr. Arnold also has a Change in Control Agreement. For a description of his compensation arrangements, please see the Registrant's Schedule 14A filed with the Securities and Exchange Commission on March 15, 2004, which is incorporated herein by reference.
