ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On June 6, 2006, PepsiAmericas, Inc., as borrower, entered into a credit agreement (the Agreement) with certain initial lenders and initial issuing banks, JPMorgan Chase Bank, N.A., as syndication agent, Bank of America, N.A. and Wachovia Bank, National Association, as documentation agents, Citigroup Global Markets Inc. and J.P. Morgan Securities Inc., as joint lead arrangers, and Citibank, N.A., as agent for the lenders, providing for a five-year, $600,000,000 unsecured revolving credit facility. The facility is for general corporate purposes, including commercial paper backstop. It replaces our previous five-year credit facility on substantially identical terms.
The Agreement contains terms customary for facilities of this nature, including certain restrictions on liens, change of business, and transactions with affiliates; requirements with respect to reporting, maintaining corporate existence, compliance with law, and maintaining in force bottling agreements with PepsiCo, Inc.; other affirmative and negative covenants; and events of default. It contains one financial covenant: we must maintain a ratio of EBITDA to interest expense of greater than 3.0 to 1.0.
The Agreement, which appears as Exhibit 10 to this report, is incorporated by reference in response to this Item 1.01.
