Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
The Employment Agreement dated July 1, 2007 between Veeco Instruments Inc. and John R. Peeler, Veecos Chief Executive Officer, provides that, during the first year of Mr. Peelers employment (and prior to Mr. Peelers relocation to the Woodbury, NY area), Veeco will reimburse Mr. Peelers reasonable housing and transportation expenses, including a tax gross-up for these amounts. Such amounts, including the tax gross-up, shall not exceed $100,000. A copy of the employment agreement was previously filed with the Commission.
On June 12, 2008, Veecos Board of Directors approved the extension of Mr. Peelers housing and transportation benefit for up to three additional years.
