(1) The 4,250 shares of Golden Minerals Company common stock replaced the 85,000 ECU Silver Mining Inc. common shares previously held by Mr. Mason, which were exchanged on September 2, 2011 in connection with the business combination between Golden Minerals Company and ECU Silver Mining Inc. by way of a court-approved plan of arrangement under the Business Corporations Act (Quebec).
