ITEM 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On December 31, 2007, James E. Nelson resigned from his positions as the President and Chief Operating Officer of Interact Holdings Group, Inc. (the “Company”) and as a member of the Company’s Board of Directors, for personal reasons, effective December 31, 2007. The resignation notification submitted by Mr. Nelson did not reference any disagreement with the Company on any matter relating to the Company’s operations, policies and practices. Jeffrey Flannery, currently the Company’s Chief Executive Officer and Chief Financial Officer will serve as the Company’s interim President and Chief Operating Officer until a replacement can be found.
