On November 2, 2005, Career Education Corporation (the "Registrant") issued a
press release to report the Registrant's financial results for the third quarter
ended September 30, 2005. A copy of the Registrant's release is attached hereto
as Exhibit 99.1, and the information contained therein is incorporated herein by
