Item 1.01. Entry into a Material Definitive Agreement.
On May 6, 2014, Martin Midstream Partners L.P. (the “Partnership”) entered into an underwriting agreement (the “Underwriting Agreement”) with RBC Capital Markets, LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, Wells Fargo Securities, LLC, Deutsche Bank Securities Inc., Raymond James & Associates, Inc., and UBS Securities LLC, as representatives of the several underwriters named therein (collectively, the “Underwriters”), in connection with an underwritten public offering (the “Offering”) of 3,600,000 common units representing limited partner interests in the Partnership (“Common Units”) at a price of $41.51 per Common Unit before an underwriting discount of $1.5566 per Common Unit. Pursuant to the Underwriting Agreement, the Partnership has granted the Underwriters a 30-day option to purchase up to an additional 540,000 Common Units in connection with the Offering. The Partnership’s Offering of the Common Units has been registered under the Securities Act of 1933, as amended (the “Securities Act”), pursuant to a registration statement on Form S-3 (File No. 333-183481), as supplemented by a Prospectus Supplement dated May 6, 2014 pursuant to Rule 424(b) of the Securities Act.
The Partnership has agreed to indemnify the Underwriters against certain liabilities, including liabilities under the Securities Act, or to contribute to payments the Underwriters may be required to make because of any of those liabilities.
The Partnership will use the anticipated net proceeds, after deducting underwriting discounts and the estimated offering expenses, of approximately $146.5 million from the Offering, plus up to an additional amount of approximately $22.0 million if the underwriters exercise their option to purchase additional units in full, to repay outstanding indebtedness incurred under its revolving credit facility and for general partnership purposes. These amounts include a proportionate capital contribution from the Partnership’s general partner to maintain its 2% general partner interest in the Partnership. If Martin Operating Partnership L.P., a wholly owned subsidiary of the Partnership, closes the previously announced acquisition of all of the membership interests of Atlas NGL Holdings, LLC and Atlas Pipeline NGL Holdings II, LLC from a subsidiary of Atlas Pipeline Partners L.P., the Partnership expects to use the revolving credit facility to fund all of the consideration for the acquisition.

Relationships
From time to time, certain of the Underwriters and their related entities have engaged, and may in the future engage, in commercial and investment banking transactions with the Partnership in the ordinary course of their respective businesses. They have received and expect to receive, customary compensation and expense reimbursement for these commercial and investment banking transactions.

On May 6, 2014, the Partnership issued a press release announcing pricing of the Common Units in the Offering. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
