Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On June 15, 2006, Charles A. Ross, Sr. announced his intention to resign from the Board of Directors, effective as of the 2006 Annual Meeting of Stockholders. Mr. Ross expressed his desire to dedicate his full-time efforts and attention to his other business pursuits, but that he intends to remain available to assist ICOP in a capacity other than as a director. A copy of Mr. Ross’ letter is attached as Exhibit 99.1.
