Item 1.01 Entry into a Material Definitive Agreement

On September 7, 2006 the Company amended the employment agreements of Robert T. Hamilton, its Chief Financial Officer, Alison Tanner, its Chief Strategist, and James A. Epstein, its General Counsel, by extending the term of the agreements for one year. Mr. Hamilton’s agreement now expires on October 26, 2007; Ms. Tanner’s agreement expires on November 1, 2007; and Mr. Epstein’s agreement expires on December 13, 2007. Except for the extended terms, the terms and conditions of the original agreements remain unchanged.
