ITEM 8.01. OTHER EVENTS.

On April 30, 2008, Zions Bancorporation (the “Registrant”) and its indirect wholly-owned subsidiary Zions Direct, Inc. (“Zions Direct”) amended the Auction Agent Agreement between the Registrant and Zions Direct, dated March 6, 2008, relating to the issuance and sale of the Registrant’s Senior Medium-Term Notes Due Three Years or Less From the Date Issued, Series A (the “Notes”).

The Notes have been registered under the Securities Act of 1933 (the “Act”) pursuant to a Registration Statement on Form S-3 (No. 333-132868) (the “Registration Statement”) previously filed by the Registrant with the Securities and Exchange Commission (the “SEC”). A copy of Amendment No. 1 to the Auction Agent Agreement is filed as an exhibit hereto and incorporated herein by reference.
