| On December 18, 2008, Regions Financial Corporation (“Regions”) announced that O.B. Grayson Hall, Jr. was elected to its Board of Directors and promoted to the position of vice chairman in addition to his position as senior executive vice president. Mr. Hall was also elected a director and vice chairman of Regions Bank, a wholly-owned subsidiary of Regions. In connection with these events, Mr. Hall’s base salary will be increased to $730,000 and his target annual incentive opportunity for 2009 will be increased to 140% of base salary.
