Item 1.01. Entry into a Material Definitive Agreement.

Settlement and License Agreement

OPTi, Inc. (the “Company”) entered into a Settlement and License Agreement with VIA Technologies, Inc. (“VIA”) on October 1, 2009, which dismisses the lawsuit that the Company filed against VIA in the Eastern District of Texas. In exchange for the Company agreeing to dismiss its lawsuit against VIA with prejudice, VIA has agreed to make two payments, totaling $650,000, to the Company. The Company has also granted VIA a license to use certain of the Company’s patents.

The Company issued a press release on October 2, 2009 attached hereto as Exhibit 99.1 announcing the settlement.
