Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 27, 2009, Clear Channel Communications, Inc. (the “Company”) announced that Randall Mays will transition from his role as the Company’s President and Chief Financial Officer. He will assume the new role of the Company’s Vice Chairman. The effective date for Mr. Mays’ transition will be determined upon the hiring of a new Chief Financial Officer for the Company. The Company has begun a search for a new Chief Financial Officer. Mr. Mays will remain a director and employee of the Company.

Revisions to Mr. Mays’ employment arrangement are still being finalized and, as a result, the Company has not included such terms in this Form 8-K. The Company will file an amendment to this Form 8-K within the prescribed time period after this information becomes available.
