CVS Health and Aetna confirmed Thursday that each company has received a so-called second request, for additional information from the U.S. Department of Justice about the pharmacy chains agreement to buy the health insurer.
Its unclear what additional information the Justice Department wants from either company, but such requests are common and dont always mean an effort to stop the merger is coming. CVS announced in December that it would buy Aetna for $69 billion, putting the health plan under the umbrella of a nationwide provider of medical care.
CVS has a network of more than 9,700 retail pharmacies in 49 states, the District of Columbia, Puerto Rico and Brazil and more than 1,100 Minute Clinic locations in 33 states. Aetna has more than 20 million enrollees in its various health plans. Aetna operates commercial health plans for employers and also administers health benefits for state Medicaid programs for poor Americans and Medicare coverage for the elderly via Medicare Advantage plans.
CVS Health and Aetna have been cooperating with the DOJ staff since shortly after the announcement of the Merger Agreement and are continuing to cooperate with the DOJ staff in its review of the transactions contemplated by the Merger Agreement, CVS said in an 8-K filing with the Securities and Exchange Commission.
The companies dont expect the request to derail the deal and said they have shareholder meetings scheduled for March 20 for their respective stockholders to approve the merger agreement. CVS Health continues to expect that the transaction will be completed in the second half of 2018, CVS said in its SEC filing.
Unlike Aetnas effort to buy rival health insurer Humana a couple of years ago, there isnt yet a groundswell of opposition forming among providers of medical care to derail the CVS acquisition of Aetna. The Justice Department sued to block the Aetna-Humana deal, saying it was anticompetitive and would lead to unfair price increases.
