This Current Report on Form 8-K is filed by SS&C Technologies Holdings, Inc., a Delaware corporation (the Company), in connection with the matters described herein.
Item 1.01 | Entry into a Material Definitive Agreement |
On March 14, 2019, SS&C Technologies, Inc. (SS&C), a wholly-owned subsidiary of the Company, entered into a purchase agreement (the Purchase Agreement) with several initial purchasers named therein (collectively, the Initial Purchasers) and the guarantors named therein (the Guarantors) relating to the sale of $2.0 billion aggregate principal amount of SS&Cs 5.500% Senior Notes due 2027 (the Notes) in a private placement sale in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the Securities Act), and outside the United States to non-U.S. persons pursuant to Regulation S under the Securities Act. The offering of the Notes is expected to close on March 28, 2019, subject to customary closing conditions. SS&C expects to use the net proceeds from this offering to repay a portion of the outstanding term B-3 loan under its existing senior secured credit facilities. The Purchase Agreement contains customary representations, warranties and covenants by SS&C and the Guarantors, including the Company, together with customary closing conditions. Under the terms of the Purchase Agreement, SS&C and the Guarantors, including the Company, have agreed to indemnify the Initial Purchasers against certain liabilities under the Securities Act.
The Purchase Agreement is filed as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated by reference herein. The summary of the Purchase Agreement is qualified in its entirety by reference to the text of the Purchase Agreement.
