On October 17, 2007, Manor Care, Inc. ("Manor Care") issued a press release announcing that at its special meeting of stockholders today, the company's stockholders approved the merger agreement providing for the merger of Manor Care with an affiliate of The Carlyle Group. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
