(b) On March 7, 2008, Debra A. Janssen resigned from the Board of Directors of Online Resources Corporation. Her resignation was prompted by Ms. Janssen's acceptance of a position with Fidelity National Information Services, Inc., a competitor of our company, and not as a result of any disagreements she had with us. Ms. Janssen has served on our Board of Directors since May 15, 2007 and was a member of the audit committee.
