Item 8.01 Other Events.

On August 15, 2008, Farmers National Banc Corp. issued a press release reporting that its Board of Directors had declared a third quarter cash dividend of $0.12 per share on its common stock, payable on September 30, 2008, to shareholders of record as of September 30, 2008; adopted an Amended Dividend Reinvestment Plan (the "Plan") and temporarily suspended the "Supplemental Investments" option under the Plan. A copy of the press release is furnished with this Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
