Item 8.01 Other Events.
On June 20, 2013, First PacTrust Bancorp, Inc. (the "Company"), the holding company for PacTrust Bank and Beach Business Bank, announced that the shareholders of The Private Bank of California ("Private Bank") approved the merger of Private Bank with and into Beach Business Bank, originally disclosed in the Current Report on Form 8-K, filed with the Securities and Exchange Commission on August 22, 2012. A copy of the press release is attached hereto as Exhibit 99.1.
