Item 8.01 Other Events.
On July 1, 2013, First PacTrust Bancorp, Inc. (the "Company") completed the acquisition of The Private Bank of California. The acquisition was accomplished by merging The Private Bank of California into Beach Beach Business Bank ("Beach") (the "Merger"). Upon closing of the Merger, Beach was renamed "The Private Bank of California." The Company originally disclosed the terms of the Merger in the Current Report on Form 8-K, filed with the Securities and Exchange Commission on August 22, 2012. A copy of the press release announcing the completion of the Merger is attached hereto as Exhibit 99.1.
