Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers        

On April 3, 2013, Michael Cohn advised Cousins Properties Incorporated that he would resign as Executive Vice President of the Company, effective April 12, 2013, to accept a position as Regional President of Lennar. During his tenure with the Company, Mr. Cohn primarily focused on developing assets for our retail portfolio; these development responsibilities will be assumed by Bill Bassett, a Senior Vice President of the Company who has focused on retail and other development for the Company for almost 20 years. No compensation is being granted in connection with Mr. Cohn's resignation.
