On June 24, 2008, Mr. Anthony W. Ruggiero, a Class I Director of Olin Corporation (the "Company"), advised the Company that he had decided to resign as a Director of the Company and as a member of the Directors and Corporate Governance Committee, effective on June 30, 2008.  To the knowledge of the Company, Mr. Ruggiero did not resign due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
