Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in
Fiscal Year
On December 6, 2007, the Board of Directors of Unisys Corporation
amended Article V (Certificates of Stock, Transfer, Etc.) of the company's
Bylaws to provide that the shares of the company's capital stock may be in the
form of uncertificated shares. Prior to such amendments, the Bylaws had
provided for the shares of the company's capital stock to be represented by
certificates. The Bylaws, as amended through December 6, 2007, are attached as
Exhibit 3.
