Item 8.01

Other Events.

On January 30, 2008, Phillips-Van Heusen Corporation finalized its previously announced agreement in principal with The Warnaco Group, Inc. and completed the transactions contemplated.  Pursuant to the agreements entered into, Warnaco transferred to the company the shares of Confezioni Moda Italia S.r.l. (“CMI”), and Calvin Klein, Inc. (“CKI”), a wholly owned subsidiary of the company, granted Warnaco certain new licenses and expanded certain existing license rights for the Calvin Klein brand.  CMI is the licensee of the Calvin Klein Collection apparel and accessories businesses under license agreements with CKI.


In connection with the foregoing, Warnaco was obligated to make a payment of $38.5 million to the company, which will be amortized into income and used to offset projected losses for the Calvin Klein Collection apparel and accessories businesses.  The payment was made on February 5, 2008, offset by $17.1 million owed by the company to Warnaco based on the net working capital of CMI as of the closing date, which amount is subject to adjustment.  The company acquired CMI free of all debt.  The Collection businesses are not expected to have a material financial impact on the company.
