ITEM 5.  OTHER EVENTS

     In a press release issued on October 30, 2002, Jones Lang LaSalle
announced earnings for the quarterly period ended September 30, 2002 and
that it expects to implement a share repurchase program approved by its
Board of Directors.  Under the program, the Firm may repurchase up to 1
million shares in the open market and in privately negotiated transactions,
depending upon market prices and other conditions.  The repurchase of
shares is primarily intended to offset dilution resulting from stock and
stock option grants made under the Firm's existing stock plans.
