Item 2.02.     Results of Operations and Financial Condition.

On May 4, 2007, Brookfield Homes Corporation issued a press release announcing its earnings and results of operations for the quarter ended March 31, 2007, and disclosing that Robert L. Stelzl was appointed Chairman and Presiding Director of the company effective May 4, 2007. Mr. Stelzl has been an independent director of Brookfield Homes since 2003. A copy of the press release is attached hereto as Exhibit 99.1.
