Dear Team,

 

Today marks an important milestone in Nutrisystem’s 45-year history. This morning we announced that Tivity Health is to acquire Nutrisystem. Through this transaction, we will become part of a leading health and wellness company that will offer a wide array of nutrition, fitness and social support to a broad array of consumers. The press release announcement is attached.

 

When we met last, I outlined several key points around our go forward vision. I communicated:

 

·We do an extraordinary job at helping people along their journey to optimal health, AND we have the ability to serve customers beyond the first leg of this journey and beyond food

 

·Our multi-brand strategy has proven itself out and we know that as consumers demand more flexibility and customization, we cannot take a one-size-fits-all approach to serving the market.

 

·Personalized nutrition and holistic health solutions is where the world is heading. We should pursue additional segments of the market and new distribution channels to expand our reach and purpose

 

The combination of our two entities, Nutrisystem and Tivity Health, greatly accelerates our agenda of being able to offer a holistic approach to weight management and being able to serve customers beyond the first step of their journey to optimal health. 

 

With Tivity Health, we will greatly expand our potential distribution through their more than 16,000 relationships with fitness centers and partners. We also hope to be able to tap into their deep relationships with health plan providers to offer more holistic solutions to their members. Tivity Health also has deep inroads into the Senior Market with their exceptionally strong SilverSneakers® brand and there will be many opportunities to partner and cross sell our products and dream up new products to serve.

 

While we announced this transaction today, we are not expected to close this until mid to late first quarter. So, for now it’s business as usual as we roll into the new year. Our plan is strong, our creative looks great and we are ready!
