Item 2.02 Results of Operations and Financial Condition.

On February 2, 2005, Barr Pharmaceuticals, Inc. (the “Company”) issued a press release announcing results for the three and six months ended December 31, 2004. A copy of the release is attached hereto as Exhibit 99.0 and is incorporated herein by reference.

The Company scheduled a conference call and webcast at 8:30 a.m. Eastern time on Wednesday February 2^nd, to discuss the results.
