Item 2.02 Results of Operations and Financial Condition.

On February 7, 2006, Barr Pharmaceuticals, Inc. (the “Company”) issued a press release announcing earnings results for the three and six months ended December 31, 2005. A copy of the release is attached hereto as Exhibit 99.0 and is incorporated herein by reference.

The Company hosted a conference call and webcast at 8:30 a.m. Eastern time on Tuesday, February 7^th discussing the earnings results for its Fiscal 2006 Second Quarter, ended December 31, 2005.
