3,000,000 shares of the Registrants common shares, par value $0.50 per share (the Common Shares),
that may be issued pursuant to the employer stock fund under the Schering-Plough Employees Savings
Plan, as amended and restated (the Plan). Pursuant to General Instruction E to Form S-8, the
contents of the earlier registration statements on Form S-8 concerning the Plan filed with the
