Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     On September 19, 2008, James D. Foy joined the Board of Directors of DealerTrack Holdings, Inc. (the “Company”) as a Class I director. The three year term for Class I directors expires at the Company’s 2009 annual meeting of stockholders. Mr. Foy was also appointed to the Compensation Committee and the Investment Committee of the Board of Directors.

On September 22, 2008, the Company issued a press release entitled “James D Foy joins DealerTrack Board of Directors” a copy of which is furnished with this Current Report on Form 8-K as Exhibit 99.1.
