Item 5.02 is the updated
Luxury Expenditure Policy of American International Group, Inc. (AIG). The updated Policy is available on AIG’s website. Among other things,
the Policy prohibits personal use of corporate aircraft, other than personal use by the Chief
Executive Officer if the personal use is incidental to a business trip, and requires that any
incremental cost incurred by AIG as a result of any such use must be reimbursed. Attached as
Exhibit 10.1 and incorporated by reference into this Item 5.02 is AIG’s form of reimbursement
agreement, to be used to comply with FAA requirements.
