               Effective May 14, 2008, in accordance with our By-laws and Corporate Governance Guidelines which provide that a director’s term of office shall automatically terminate as of the Company’s next annual shareholder meeting following such director attaining the age of 72, Messrs. Norman R. Augustine, William R. Rhodes and J. Stapleton Roy retired from our Board of Directors.
