Item 12. Results of Operations and Financial Conditions

     On May 20, 2004, Claire’s Stores, Inc. (the “Company”) issued a press release Claire’s announcing the Company’s results for the first quarter of fiscal 2005 and providing guidance relating to the second quarter of fiscal 2005 and the full fiscal year. In addition, the Company declared that it was increasing its regular quarterly dividend to $0.07 on its Common Stock and to $0.035 on its Class A Common Stock. A copy of the press release is furnished with this Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
