("Henderson"), its sole shareholder, Adam B. Henderson Family Limited Partnership ("Shareholder") and Adam B. Henderson, the general partner of the Shareholder, pursuant to which the Company will acquire substantially all of the assets of Henderson, consisting of ten retail tire stores located in southern Maryland. The transaction is expected to be completed in early March 2005 (the "Closing"). A copy of the Agreement is attached hereto as Exhibit 2.1 and is incorporated herein by reference. Under the terms of the Agreement, the Company will pay a total of $7,500,000 to Henderson. The purchase price will include the payment to Henderson of $1,000,000 in cash and the issuance of shares of the Company's $.01 par value common stock in an amount equal to $6,500,000. The number of shares to be issued at the Closing shall be determined based upon a calculation of the average close price for the twenty (20) full trading days preceding the Closing. The shares issued to Henderson at the Closing will be unregistered pursuant to the exemption provided by Section 4(2) of the Securities Act of 1933 and the regulations promulgated thereunder. However, the Company has committed to submit all required information and filings with the Securities and Exchange Commission following the Closing in order to register Henderson's resale of the shares.
