       In July 2002 the Company filed a registration statement on Form SB-2 with
the Securities and Exchange Commission. The Company's financial statements for
the three months ended October 31, 2002 need to be filed as part of an amendment
to the Company's registration statement on Form SB-2. As a result, additional
time is needed to file the report.
