and percentage of the class of securities of the issuer identified in
Item 1.

         5,518,643 shares of common stock, which includes
         5,394,602 shares issuable upon the conversion of Durect
         Corporation Convertible Debentures Due 06-15-08 (the
         "Convertible Securities").

     (b) Percent of class:
         7.43%, calculated based on 74,288,284 shares of common stock
         outstanding, which number is calculated by adding (i)
         68,893,682 (the number of shares of common stock
         outstanding as of October 31, 2006, as reported on the
         Company's most recent quarterly report filed on Form 10-Q)
         and (ii) 5,394,602 (the number of shares of common stock deemed
         held under Rule 240.13d-3(d)(1) as a result of the beneficial
         ownership of the Convertible Securities).

      The Reporting Person is registered as an investment advisor
      under Section 203 of the Investment Advisors Act of 1940
      (15 USC 80b-3) and has discretionary authority with regard to
      certain accounts that hold Durect Corporation
      common stock and Preferred Securities.  No single account has
      a more than 5% interest of any class of the Issuer's equity
      securities.
