Item 1.01.
Entry into a Material Definitive Agreement.

Reference is made to Item 5.02 for information on an Amendment to the Employment Agreement, dated January 15, 2009, between Paul Mendez and Synergx Systems Inc. (the “Company”).
 
Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On January 15, 2009, the Company entered into the Amendment to the Employment Agreement with Paul Mendez, its Chief Executive Officer.  The amendment, effective from October 1, 2008, increases Mr. Mendez’s annual base salary to $250,000.  The terms and conditions of all other sections of the Employment Agreement, dated June 10, 2008, shall remain unchanged and in full force and effect.
 
The foregoing summary of the Amendment to the Employment Agreement is qualified by reference to the agreement that is filed as an exhibit to this current report.
