Item 1.01. Entry into a Material Definitive Agreement. 
 
On March 22, 2005, DCAP Group, Inc. (the “Company”) and Barry Goldstein, its Chief Executive Officer, entered into an amendment to Mr. Goldstein’s employment agreement, pursuant to which, among other things, the term of the agreement has been extended to April 1, 2007 and Mr. Goldstein shall be entitled, under certain circumstances, to a payment equal to one and one-half times his then annual salary in the event of the termination of his employment following a change of control of the Company.
