Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) On February 2, 2017, George J. Stalk, Jr. informed the Board of Directors (the “Board”) of Intuitive Surgical, Inc. (the “Company”) that he has decided to retire from the Board and accordingly will not stand for re-election to the Board at the Company’s 2017 annual meeting of stockholders. Mr. Stalk plans to continue to serve on the Board and as a member of the Audit Committee of the Board until the Company’s 2017 annual meeting of stockholders.
