Item 8.01.  Other Events

On March 19, 2009 Tier Technologies, Inc., or Tier, issued a press release announcing the voting results of the annual meeting of stockholders held at Tier’s headquarters in Reston, Virginia on March 11, 2009.  A copy of this press release is furnished as exhibit 99.1 to this report.
 
Stockholders approved the re-election of six board members: Ronald L. Rossetti, Charles W. Berger, John J. Delucca, Morgan P. Guenther, Philip G. Heasley and David A. Poe.  Stockholders also approved the election of three new members of the board of directors: Daniel J. Donoghue, Michael R. Murphy and Zachary F. Sadek.
 
Stockholders also voted to ratify the appointment of McGladrey & Pullen, LLC as Tier’s independent auditors for the current fiscal year and to approve two stockholder proposals.
