The exhibits filed herewith are exhibits to the Registration Statement on Form S-3 (file no. 333-216219) of 3M Company (the “Company”), filed with the Securities and Exchange Commission on February 24, 2017. On February 12, 2019, the Company entered into a Terms Agreement with Merrill Lynch, Pierce, Fenner & Smith Incorporated, Morgan Stanley & Co. LLC and Wells Fargo Securities, LLC, as representatives of the several purchasers named therein, relating to the sale of $450,000,000 aggregate principal amount of the Company’s 2.750% Notes due 2022, $500,000,000 aggregate principal amount of the Company’s 3.250% Notes due 2024 (reopening), $800,000,000 aggregate principal amount of the Company’s 3.375% Notes due 2029 and $500,000,000 aggregate principal amount of the Company’s 4.000% Notes due 2048 (reopening), issued off of the Company’s Medium-Term Note Program, Series F.
