On November 2, 2011, the Registrant issued a press release announcing that it had entered into a memorandum of understanding with King & Sons Ships Agency, a subsidiary of Grindrod Limited, a public company listed on the JSE Securities Exchange South Africa (JSE:GNDP). A copy of the press release is attached hereto as Exhibit 99.1.
