Item 5. Other Events.
On October 6, 2003, Prosperity Bancshares, Inc. (“Prosperity”) publicly disseminated a press release announcing that it had entered into an Agreement and Plan of Reorganization to acquire First State Bank of North Texas, a Texas banking association located in Dallas, Texas for 393,075 shares of Prosperity common stock and $12.6 million in cash, subject to adjustment. The purpose of this Current Report on Form 8-K is to file as Exhibit 99.1 a copy of the Company’s press release dated October 6, 2003 announcing such event. The press release is incorporated by reference into this Item 5 and the foregoing description of the press release is qualified in its entirety by reference to this exhibit.
