Item 5. Other Events and Regulation FD Disclosure.

 

On April 26, 2004, Prosperity Bancshares, Inc. (“Prosperity”) publicly disseminated a press release announcing that it had entered into an Agreement and Plan of Reorganization to acquire Liberty Bancshares, Inc. and its subsidiary Liberty Bank, SSB located in Austin, Texas for approximately 1.3 million shares of Prosperity common stock and $10.5 million in cash, subject to adjustment. The purpose of this Current Report on Form 8-K is to file as Exhibit 99.1 a copy of the Company’s press release dated April 26, 2004, announcing such event. The press release is incorporated by reference into this Item 5 and the foregoing description of the press release is qualified in its entirety by reference to Exhibit 99.1.
