Item 5.02(b) Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

 

On December 16, 2004, director Marion C. Bauman submitted his resignation to the Company’s board of directors to be effective January 1, 2005. Mr. Bauman will continue as a nonvoting advisory director. Mr. Bauman’s resignation was not due to any disagreement with the Company on any matter relating to its operations, policies or practices.
