(a) Amendment to Bylaws:

 

The Board of Directors resolved on January 22, 2005, to amend Article III, Section 2 of the Company’s By-laws, effective as of February 22, 2005, to decrease the number of directors from twelve to nine. Exhibit 3 to this Form 8-K contains the Company’s Bylaws as amended effective as of February 22, 2005.
