Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On March 15, 2007, Robert J. Whelan informed Boston Private Financial Holdings, Inc. (the “Company”) of his intent to resign as Executive Vice President and Chief Financial Officer of the Company in order to accept an offer to become a senior officer of a financial services company. Mr. Whelan’s resignation is effective March 30, 2007.

In connection with the resignation, the Company’s President Walter M. Pressey will serve as interim Chief Financial Officer until the Company recruits a permanent Chief Financial Officer. Mr. Pressey previously served as Chief Financial Officer of the Company from 1996 until 2004 and became President of the Company in 2000.
