Item 1.01 Entry into a Material Definitive Agreement.
On May 18, 2007, the stockholders of SMTC Corporation (the “Company”) approved the amendment (the “Equity Incentive Plan Amendment”) to the SMTC Corporation/SMTC Manufacturing Corporation of Canada 2000 Equity Incentive Plan (the “2000 Plan”), which increases the number of shares of the Company’s common stock available under the 2000 Plan. The Company’s Board of Directors had previously approved the Equity Incentive Plan Amendment, subject to the approval of the stockholders. A copy of the 2000 Plan, as amended, is attached to this Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
