Item 1.01. Entry into a Material Definitive Agreement.

On October 31, 2007, Bassett Furniture Industries, Inc. (the “Company”) amended its existing credit facility with Branch Banking and Trust Company (“BB&T”) by extending the agreement through November 30, 2009, and adding and amending certain covenants. The credit facility provides for borrowings of up to $40 million at a variable interest rate of LIBOR plus 1.5% and is secured by substantially all of the Company’s receivables and inventories. The amended agreement also requires the Company to maintain at least $15 million of marketable securities with selected institutions.

The foregoing does not constitute a complete summary of the terms of the credit facility which will be filed as an exhibit to a later filing.
